Addnode Group has completed the acquisition of the software company S-GROUP Solution – issues 204,802 B shares

STOCKHOLM, April 1, 2021 - Addnode Group announced on March 30, 2021, that Addnode Group had signed an agreement to acquire the software company S-GROUP Solutions AB ("S-GROUP Solutions"). Closing has taken place today on April 1, 2021. Addnode Group pays cash and newly issued B shares as consideration to the seller.

In connection with the closing, the Board of Directors of Addnode Group has resolved to carry out an issue in kind of B shares in Addnode Group under the previous authorization from Addnode Group's Annual General Meeting. The number of newly issued B shares amounts to 204,802, which, calculated after the issue, corresponds to a dilution of 0.61 per cent of the share capital and 0.48 per cent of the voting rights in Addnode Group. The number of shares in Addnode Group increases from a total of 33,427,256 to 33,632,058 shares.
