Sub: Intimation regarding execution Business Transfer Agreement by Adani Defence Systems & Technologies Ltd (‘ADSTL’), a wholly owned subsidiary of the Company.

Ref: Disclosure pursuant to Regulation 30 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015.

With reference to the captioned subject, we would like to inform that Adani Defence Systems and Technologies Ltd (“ADSTL”), a wholly owned subsidiary of the Company, has executed a Business Transfer Agreement (“BTA”) on February 28, 2026, with Punj Lloyd Ltd. (‘PLL’), regarding transfer of a Defence Unit of PLL situated at Malanpur to ADSTL. The information of the same has been received by the Company on March 1, 2026 at 12:27 AM IST).

The details of the above acquisition (as required to be furnished pursuant to Regulation 30 read with Para A of Part A of Schedule III of SEBI Listing Regulations and SEBI Circular No. SEBI/HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated 30[th] January, 2026) are given hereinbelow:
