• Sub.: Intimation of completion of acquisition of 100% stake in Indamer Technics Private Limited by Horizon Aero Solutions Limited (HASL), a step-down subsidiary of the Company.

Ref.: Earlier intimation dated August 11, 2025.

In furtherance to our intimation dated August 11, 2025, vide which we had informed about the execution of the share purchase agreement (“ SPA ”) by Horizon Aero Solutions Limited (“HASL”), a step-down subsidiary of the Company with Indamer Technics Private Limited (“ITPL”) and ITPL’s existing shareholders for acquisition of 100% shareholding in ITPL, we hereby inform that HASL has completed the said acquisition and as such ITPL has become a step down subsidiary of the Company. The intimation of the same was received by the Company on February 13, 2026 at 7:51 p.m.

The details of the above acquisition (as required to be furnished pursuant to Regulation 30 read with Para A of Part A of Schedule III of SEBI Listing Regulations and SEBI Circular No. SEBI/HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026) are enclosed as Annexure 1.
