Item 8.01. Other Events.

As previously disclosed by New York Mortgage Trust, Inc. (the “Company”) in Item 8.01 of the Company’s Current Report on Form 8-K filed on May 13, 2019, pursuant to an underwriting agreement (the “Underwriting Agreement”), dated May 8, 2019, by and between the Company and Morgan Stanley & Co. LLC, as representative of the underwriters named therein (the “Underwriters”), the Company granted the Underwriters a 30-day option (the “Option”) to purchase up to an additional 2,700,000 shares (the “Option Shares”) of the Company’s common stock, par value $0.01 per share, at a price of $5.96 per share. On May 22, 2019, the Underwriters exercised the Option in full. The closing for the Option Shares was completed on May 24, 2019 and resulted in total net proceeds to the Company of approximately $16.1 million before offering expenses payable by the Company.
