Backgound of the Company:

CLS Investments, LLC (the "Company") is an investment adviser registered with the United States Securities and Exchange Commission and located at 17605 Wright St, Omaha, Nebraska 68130. Currently, the Company is providing Discretion and Advisory Services to its clients. The Company manages the portfolio of the clients and invests into the companies on behalf of the clients.

SEBI (Substantia Acquisition of Shres and Takeovers) Regations. 2011:

29.(1)" A,iy acquirer who acquires shares or voting rigl1ts in a target company whid1 taken togeth er with shares or voting riglits, if any, held by him and Ulj persons acting in concert with him in such target company, aggregating to five per cent or more of the shares of sud1 target company, shall disclose their aggregate shareholding and voting rights in sudi target company in such Jann as may be spedfied."

29(3) "The disdosures required under sub regulation (1) and sub regulation (2) shall be made within two working days of the receipt of intimation of al oh11ent of shares, or the acquisition of shares or voting rights in tire target company to,
