En cumplimiento de lo dispuesto en el Art. 227 de la Ley 6/2023, de 17 de marzo, de los Mercados de Valores y de los Servicios de Inversión, ACCIONA, S.A. (en adelante, la "Sociedad" o "ACCIONA") comunica lo siguiente:

INFORMACIÓN RELEVANTE

ACCIONA ha suscrito en el día de hoy con una entidad financiera global un contrato de permuta financiera de retorno absoluto (total return equity swap) en relación con acciones de CORPORACIÓN ACCIONA ENERGÍAS RENOVABLES, S.A. ("CAER") por un importe nocional de 100.000.000€ o un máximo de 4.938.759 acciones representativas 1,52% del capital social de CAER, con vencimiento en el plazo de 12 meses, y liquidable físicamente mediante la entrega de acciones.

Esta comunicación de información relevante se publica en idiomas español e inglés, en caso de discrepancia entre ambas versiones, prevalecerá la versión española.

Pursuant to the provisions of Art. 227 of Act 6/2023, of the Securities Markets and Financial Services, ACCIONA, S.A. (the "Company" or "ACCIONA") reports the following:

MATERIAL INFORMATION

ACCIONA has today entered into a total return equity swap agreement with a global financial institution referencing the shares of CORPORACIÓN ACCIONA ENERGÍAS RENOVABLES, S.A. ("CAER") for a notional amount of EUR 100,000,000, or a maximum of 4,938,759 shares, representing 1.52% of CAER's share capital, maturing in 12 months, to be settled physically through the delivery of shares.

This material information statement is published in Spanish and English and in case of discrepancy between both versions, the Spanish version shall prevail.
