Notification of Interests of Executive Director

The notification set out below is provided in accordance with the requirements of the EU Market Abuse Regulation.

On 3 June 2019 the Company granted to Stephanie Bruce, under the terms of the 2018 Standard Life Aberdeen plc Deferred Share Plan ('the Deferred Share Plan'), a one-off award in the form of nil-cost options to acquire shares in the Company, subject to the rules of the Deferred Share Plan and the performance underpins as defined in the grant documents and summarised in the market announcement on 30 April 2019.

The Award will normally vest in three equal tranches on the first, second, third anniversaries of the Award but only to the extent that the performance underpins have been met and in accordance with and subject to the rules of the Standard Life Aberdeen plc Deferred Share Plan.  The Award may be exercised up to 10 years from grant.

No consideration is payable on the grant or vesting of the Award.  The number of shares to which each Award relates will be increased by an additional number of shares equal in value to any dividends that would have been paid on all the shares in respect of which the Award is released, over the period from the grant date to the release date.
