Completion of Cancellation and Reduction

abrdn Diversified Income and Growth plc (the "Company") is pleased to announce that the final hearing in the Court process to create a special, distributable reserve by way of cancelling its £116,556,000 share premium account, its £37,043,000 capital redemption reserve and reducing the nominal value of each of its ordinary shares from 25p to 1p (the "Cancellation and Reduction") was held on 7 June 2024 and an order was pronounced by the Court (the "Order") confirming the Cancellation and Reduction.  

The Company is also pleased to confirm that the Order has today been registered at Companies House together with a statement of capital approved by the Court. Therefore, all procedural steps required in connection with the Cancellation and Reduction have now been completed. A Circular in relation to the B share scheme will be published shortly with the expectation of the Initial Return of Capital comprising, in aggregate, approximately £115 million being implemented in the coming weeks.
