Nocivelli ABP: Approvata la fusione per incorporazione della controllata RPP S.r.l. Run Power Plants in ABP Nocivelli S.p.A.
Castegnato (Brescia), 17 aprile 2025 – A.B.P. Nocivelli S.p.A., EsCo Company leader del settore nelle operazioni di Partenariato Pubblico Privato per la realizzazione di strutture sanitarie e ospedaliere, quotata nel segmento Euronext Growth Milan (Codice ISIN IT0005439861, Ticker ABP:IM), facendo seguito a quanto riportato nel comunicato stampa del 17 marzo 2025, rende noto che il Consiglio di Amministrazione della Società e l'Assemblea degli Azionisti di RPP hanno approvato, in data odierna, la fusione per incorporazione di RPP in ABP Nocivelli S.p.A. secondo i termini di cui al progetto di fusione.
I verbali delle deliberazioni come sopra adottate saranno depositati per l'iscrizione nei competenti uffici del Registro delle Imprese di Brescia e messi a disposizione del pubblico sul sito internet https://abpnocivelli.com/progetti-di-fusione/ e sul sito internet di Borsa Italiana, www.borsaitaliana.it, Sezione Documenti.
L'operazione comporterà la concentrazione delle attività svolte da RPP in capo a Nocivelli ABP consentendo: sia la realizzazione di maggiori sinergie all'interno della società incorporante attraverso la razionalizzazione della governance e delle strutture operative, commerciali e finanziarie, sia la riduzione di costi operativi e gestionali derivante dall'eliminazione di duplicazioni di attività societarie ed amministrative.
La fusione ricade nella disciplina di cui all'art. 2501 del Codice Civile, applicando la disciplina semplificata prevista dall'art. 2505 del Codice Civile, in quanto Nocivelli ABP detiene l'intero capitale sociale di RPP.

Nocivelli ABP: Approval of the merger by incorporation of the subsidiary RPP S.r.l. Run Power Plants into ABP Nocivelli S.p.A.
Castegnato (Brescia), 17 April 2025 – A.B.P. Nocivelli S.p.A., EsCo Company, leader in the sector in Public-Private Partnership transactions for the construction of healthcare and hospital facilities, listed in the Euronext Growth Milan segment (ISIN Code IT0005439861, Ticker ABP:IM), further to the press release of 17 March 2025, announces that the Board of Directors of the Company and the Shareholders' Meeting of RPP have today approved the merger by incorporation of RPP into ABP Nocivelli S.p.A. under the terms of the merger plan.
The minutes of the resolutions adopted above will be filed for registration in the competent offices of the Brescia Companies' Register and made available to the public on the https://abpnocivelli.com/en/merger-projects/ website and on the website of Borsa Italiana, www.borsaitaliana.it, Documents Section.
The transaction will involve the concentration of the activities carried out by RPP in the hands of Nocivelli ABP, allowing: both the creation of greater synergies within the absorbing company through the rationalization of governance and operational, commercial and financial structures, and the reduction of operating and management costs deriving from the elimination of duplication of corporate and administrative activities.
The merger falls under the discipline referred to in art. 2501 of the Civil Code, applying the simplified discipline provided for by art. 2505 of the Italian Civil Code, as Nocivelli ABP holds the entire share capital of RPP.
