GRANT OF WAIVER FROM STRICT COMPLIANCE WITH RULE 19.41(A) OF THE GEM LISTING RULES

Reference is made to the announcement (the “ Announcement ”) of abc Multiactive Limited (the “ Company ”) dated 4 January 2021. Unless otherwise defined, capitalised terms used herein shall have the same meanings as those defined in the Announcement.

Pursuant to Rule 19.41(a) of the GEM Listing Rules, the Company is required to despatch a circular (the “ Circular ”) containing, amongst other things, (i) further details of the Acquisition; (ii) financial information of the Group and the Target Company; and (iii) the unaudited pro forma financial information of the Group as enlarged by the Acquisition, to the Shareholders within 15 business days after the publication of the Announcement, which is on or before 25 January 2021. Given that additional time is required for the Company to prepare and finalise the financial information of the Target Company and the statement of indebtedness to be included in the Circular, subject to the grant of waiver from strict compliance with Rule 19.41(a) of the GEM Listing Rules (the “ Waiver ”), the Circular is expected to be despatched to the Shareholders on or before 4 March 2021.

In light of the above, the Company has applied to the Stock Exchange for the Waiver, and the Stock Exchange has granted the Waiver to the Company on the basis that the Company will despatch the Circular by 4 March 2021. The Stock Exchange may withdraw the Waiver if the Company’s situation changes.
