DELAY IN DESPATCH OF CIRCULAR IN RELATION TO MAJOR TRANSACTION AND GRANT OF WAIVER FROM STRICT COMPLIANCE WITH RULE 19.41(A) OF THE GEM LISTING RULES

Reference is made to the announcement of abc Multiactive Limited (the “ Company ”) dated 4 January 2021 and 14 January 2021 (the “ Announcements ”) in relation to the acquisition of the entire interest of the Target Company. Unless otherwise defined, capitalised terms used herein shall have the same meanings as those defined in the Announcements.

As set out in the Announcements, a circular in relation to the Acquisition (the “ Circular ”), containing among other things, details of the Acquisition as required under the GEM Listing Rules, is expected to be despatched to the Shareholders on or before 4 March 2021 and the Stock Exchange has granted the waiver to the Company.

As additional time is required for the Company to prepare and finalise the financial information to be included in the Circular, the Company has applied to the Stock Exchange for a further waiver from strict compliance with the requirements of Rule 19.41(a) of the GEM Listing Rules.

The Stock Exchange has granted the waiver to the Company on condition that the Company will despatch the Circular on or before 30 March 2021. The Stock Exchange may change the waiver if the Company’s situation changes.
