CLARIFICATION

The date of appointment of Mr. Kau Mo HUI as non-executive director of the Company was 8th March 2000 and he joined the Company on 18th March 2000.

Both the date of appointment for Messrs. Ronald Kwok Fai POON and Clifford Sau Man NG as independent non-executive directors of the Company was 31st March, 2000.

Reference is made to the prospectus of abc Multiactive Limited (the “Company”) dated 22nd January 2001 (the “Prospectus”) and the Company’s annual report for the fiscal year ended 30th November, 2000 (the “Annual Report”). On page 93 of the Prospectus, it was stated that Mr. Kau Mo HUI joined the Company on 18th March 2000 and it was stated on page 16 of the Annual Report that he was appointed as a non-executive director on 8th March 2000. The directors of the Company would like to clarify that Mr. Kau Mo HUI was appointed as a director at the member’s meeting of the Company on 8th March 2000. The Company considered that Mr. Kau Mo Hui formally joined the Company by attending its first meeting of the directors on 18th March 2000.

On page 11 and 16 of the Annual Report, it was inadvertently stated that the date of appointment for Messrs. Ronald Kwok Fai POON and Clifford Sau Man NG as independent non-executive directors of the Company were 11th September 2000. The directors of the Company would like to clarify that both

the date of appointment for Messrs. Ronald Kwok Fai POON and Clifford Sau Man NG as independent non-executive directors of the Company were 31st March, 2000 and not 11th September, 2000 as disclosed in the Annual Report.
