Req: Outcome of Board Meetinq

With further reference to our letter of 7'h August, 2019 the Board of Directors of the Company in its meeting held on date i.e. 13'h August, 2019 has, inter alia, transacted the following business —

  • 1) Approved the Un—audited Standalone Financial Results for the quarter ended on 30m June, 2019 and the same is attached along with Limited Review Report as issued by the Auditors of the Company and placed before the Board pursuant to Regulation 30(6) and 33 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.
  • 2) Fixed the date, venue and approved the notice of the 46'h Annual General Meeting (AGM) of the Company for the FY 2018—19 to be held on 25"' September, 2019..
  • 3) Approved the Directors' Report along with all its annexures of the Company for the financial year 2018—19.
  • 4) Fixed the date for closure of Register of Members & Share Transfer Books from 19'h September, 2019 to 25'h September, 2019 (both days inclusive) for the purpose of Annual General Meeting of the Company for the Financial Year 2018-19 pursuant to Regulation 42 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015.

Please note that the meeting commenced at 2.00 PM. and concluded at 3.30 PM.

1) The above unaudited financial results have been reviewed by the Audit Committee and thereafter the Board 0! Directors have approved the above results at their
respective meetings held on 13th August. 2019
2) The Auditors have carried out Limited Review (LR) on the above financial results and the said report was placed and noted by the Board.
3) The Company has already adopted Ind AS w.e.l 1.4.2017 and this Statement has been prepared in accordance with the Companies (Indian Accounting
Standards) Rules, 2015 (Ind AS) prescribed under section 133 of the Companies Act, 2013 and other recognised accounting practices and policies to the extent
applicable.
4) The format for uneaudited quarterly results as prescribed in SEBI's Circular ClR/CFD/CMD/15/2015 dated November 30. 2015 has been modified to the extent
required to comply with requirements of SEBl's circular dated July 5, 2016. Ind AS and Schedule [II (Division II) to the Companies Act, 2013 applicable to
Companies that are required to comply with Ind AS.

The Company carries out its business in three segments viz., Freight & Services , Petrol Pump and Construction.
6) The figures of previous periods / year has been regrouped / reclassified wherever necessary to make them comparable with those of the current period / year.

Review Report To Board of Directors M/s. ABC India Limited

    1. We have reviewed the accompanying statement of unaudited Ind AS financial results of ABC INDIA LIMITED ("the Company") for the quarter ended on 30th June, 2019 (the "Statement") attached herewith, being submitted by the Company pursuant of the requirements of Regulation 33 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended.
  • This Statement, which is the responsibility of the Company's Management and approved by the Board of Directors. has been compiled from the related audited interim financial information which has been prepared in accordance with the recognition and measurement principles laid down in the Indian Accounting Standard 34 "Interim Financial Reporting" ("Incl AS 34"), prescribed under Section 133 of the Companies Act, 2013 read with relevant rules issued thereunder and other accounting principles generally accepted in India. Our responsibility is to express an opinion on the Statement based on our audit.
  • We conducted our audit in accordance with the Standards on Auditing specified under Section 143(10) of the Companies Act, 2013. Those Standards require that we comply with ethical requirements and plan and perform the audit to obtain reasonable assurance about whether the Statement is free from material misstatement.

An audit involves performing procedures to obtain audit evidence about the amounts and the disclosures in the Statement. The procedures selected depend on the auditor's judgment, including the assessment of the risks of material misstatement of the Statement, whether due to fraud or error. In making those risk assessments, the auditor considers internal control relevant to the Company's preparation and fair presentation of the Statement in order to design audit procedures that are appropriate in the circumstances, but not for the purpose of expressing an opinion on the Company's internal financial control with reference to the Statement. An audit also includes evaluating the appropriateness of the accounting policies used and the reasonableness of the significant accounting estimates made by the Management, as well as evaluating the overall presentation of the Statement.

We believe that the audit evidence obtained by us is sufficient and appropriate to provide a basis for our audit opinion.
