Appointment of a new member of the Supervisory Board of mBank S.A.

Management Board of mBank S.A. (the Bank) announces that under aresolution of the Ordinary General Meeting of 30 March 2023 ThomasSchaufler has been appointed as the Member of the Supervisory Board ofmBank S.A., as of 31 March 2023 for the duration of the present term ofoffice of the Supervisory Board.

Thomas Schaufler graduated in 2002 from the University of AppliedSciences (FHW-Fachhochschule) in Vienna with a master's degree inmanagement and entrepreneurship. Thomas Schaufler finished professionalcourses and has professional certificates (e.g. Certificated EuropeanFinancial Analyst CEFA).

Thomas Schaufler has more than twenty years of professional experiencein the banking sector, including fourteen years in managerial positionsin the banking sector. Currently he is the Member of the Board ofManaging Directors of Commerzbank AG responsible for business segment ofprivate and small-business customers. Previously, he sat on the Board ofManaging Directors of Erste Group Bank AG, acting as Head of the GroupRetail Board. Thomas Schaufler has managerial experience in retailbanking sales, Treasury sales, product management in European countriesand asset management.

To the best knowledge of the Bank, Thomas Schaufler is not involved inany activities which compete with those carried out by the Bank.

In accordance with the criteria applied by the Bank, Thomas Schaufler isnot an independent member of the Supervisory Board of the Bank.

Thomas Schaufler has no records in the Register of Insolvent Debtorsmaintained under the National Court Register Act.
