Notice of change in interest of substantial holder - Abacus Property Group

Reference is made to the announcement made by Australia and New Zealand Banking Group Limited ( ANZ ) on 12 May 2008 regarding its interests in various ASX listed entities arising under transactions entered into pursuant to Australian Master Securities Lending Agreements.

As indicated in that announcement, although there is some uncertainty as to whether ANZ is under a legal obligation to do so, ANZ intends to lodge substantial holding notices in relation to relevant listed entities.

We attach a notice of change in interest of substantial holder with respect to Abacus Property Group.

This may be due to one of a number of reasons including but not limited to, the following: the securities were provided to ANZ in response to a margin call against the counterparty to an Australian Master Securities Lending Agreement; the securities were provided to ANZ to be loaned out by ANZ pursuant to its securities lending program on behalf of the beneficial holder of the securities; the securities were received by ANZ as a result of a corporate action such as a bonus issue. Note C: ANZ has ceased to have relevant interests in the securities referred to in the adjacent columns. No consideration was provided to ANZ that was directly referable to the securities. This may be due to one of a number of reasons including but not limited to, the following: the securities were returned by ANZ to the counterparty to an Australian Master Securities Lending Agreement as a result of the value of the securities loaned to ANZ by the counterparty exceeding the collateral provided by ANZ to the counterparty; the securities were returned to a client of ANZ (or a client for whom ANZ Nominees Limited originally held the securities as a bare trustee) who had previously made the securities available to ANZ to be loaned out by ANZ pursuant to its securities lending program on behalf of the client, and who had since withdrawn those securities from ANZ's securities lending program; or the securities were originally received by ANZ as a result of a corporate action (such as a bonus issue) in respect of securities acquired by ANZ pursuant to an Australian Master Securities Lending Agreement and were transferred to the counterparty in accordance with the terms of the agreement. Note D: On-market purchase Note E: On-market sale Note F: ANZ understands that ING Australia Limited (“INGA”) has acquired relevant interests in the securities referred to in the adjacent columns. ANZ and each of the ANZ Subsidiaries is taken under section 608(3)(a) of the Corporations Act 2001 to have the same relevant interests in the Entity as INGA by reason of it having voting power above 20% in INGA and consequently has acquired relevant interests in those securities.

ANZ and each of the ANZ Subsidiaries is taken under section 608(3)(a) of the Corporations Act 2001 to have the same relevant interests in the Entity as INGA by reason of it having voting power above 20% in INGA and consequently has ceased to have relevant interests in those securities.
