Notice under sections 708A(5)(e) and 1012DA(5)(e) of the Corporations Act

Abacus Property Group, which comprises Abacus Group Holdings Limited (ACN 080 604 619) ( AGH ), Abacus Group Projects Limited (ACN 104 066 104) ( AGP ), Abacus Trust (ARSN 096 572 128) ( AT ) and Abacus Income Trust (ARSN 104 934 287) ( AIT ), has today issued 228,430,000 stapled securities (the Placement Securities ) at an issue price of $0.40 per Placement Security.

Notification under section 708A(5)(e)

AGH and AGP give notice under section 708A(5)(e) of the Corporations Act 2001 (Cth) ( Corporations Act ) that:

• 1 The Placement Securities were issued without disclosure to investors under Part 6D.2 of the Corporations Act.

• 2 As at the date of this notice, AGH and AGP have complied with:

  • the provisions of Chapter 2M of the Corporations Act as they apply to them; and

  • section 674 of the Corporations Act.

• 3 As at the date of this notice, there is no ‘excluded information’ within the meaning of section 708A(6)(e) of the Corporations Act.

Notification under section 1012DA(5)(e)

Abacus Funds Management Limited (ACN 007 415 590) ( AFML ), in its capacity as the responsible entity of AT and AIT, gives notice under section 1012DA(5)(e) of the Corporations Act that:

• 1 The Placement Securities were issued without a product disclosure statement under Part 7.9 of the Corporations Act being prepared.

• 2 As a disclosing entity, AMFL, in its capacity as responsible entity of each of AT and AIT, is subject to reporting and disclosure obligations.

• 3 As at the date of this notice, AFML has complied with:

  • the provisions of Chapter 2M of the Corporations Act as they apply to each of AT and AIT; and

  • section 674 of the Corporations Act as it applies to each of AT and AIT.

1. As at the date of this notice, there is no ‘excluded information’ within the meaning of section 1012DA(6)(f) of the Corporations Act
