AB S.A. — Major Shareholding Notification 2017

Zarząd PiLab S.A. z siedzibą we Wrocławiu ("Spółka", "Emitent") informuje, że w dniu 22 czerwca 2017 r. została zawarta umowa pomiędzy Emitentem a FGP Venture sp. z o.o. z siedzibą we Wrocławiu (dalej: "FGPV", "Akcjonariusz"). Umowa dotyczy czasowego ograniczenia zbywalności akcji Emitenta. Tym samym wszystkie wprowadzone do obrotu w Alternatywnym Systemie Obrotu na rynku NewConnect akcje będące w posiadaniu FGPV zostały objęte zobowiązaniem o charakterze lock-up.

Akcjonariusz zobowiązał się, iż w okresie 24 miesięcy od dnia zawarcia przedmiotowej umowy, bez uprzedniej pisemnej zgody Spółki, nie będzie oferował, sprzedawał lub w inny sposób rozporządzał przedmiotowymi akcjami. Zawarcie umowy typu lock-up potwierdza po raz kolejny intencję długoterminowego zaangażowania kluczowych akcjonariuszy będących jednocześnie założycielami i członkami Zarządu Spółki.

The Executive Board of PiLab S.A. ("Company", "Issuer") registered in Wroclaw, Poland, hereby informs that on 22th of June 2017 the Company concluded an agreement between the Issuer and FGP Venture sp. z o.o. registered in Wrocław (“FGPV", “Shareholder"). The agreement is limiting timeframe of Issuer’s shares sales availability. All of the shares traded on NewConnect Alternative Trading System and owned by FGP Venture are subject to a lock-up obligation.

Without prior written consent of the Company, the Shareholder has pledged not to offer, sell or otherwise dispose of the owned shares within 24 months from the date of conclusion of the agreement. This agreement confirms once again the intention of long-term commitment of the key shareholders who are both founders and members of the Company's Management Board.
