NOTICE

To The Shareholders of Aarti Industries Limited

Pursuant to the provisions of Section 110 and other applicable provision, if any, of the Companies Act, 2013, read with Companies (Management and Administration) Rules, 2014, including any amendment(s), statutory modification(s) and/or re-enactment thereof for the time being in force and subject to such other applicable laws and regulations, Notice is hereby given for seeking approval of the Members of Aarti Industries Limited ("the Company") on the resolution, as stated in the Postal Ballot Notice dated December 11, 2018, is proposed to be passed as a Special Resolution by way of Postal Ballot including voting by electronic means.

The Postal Ballot Notice and Form have been sent electronically to the Members [other than those who had requested for physical copy or whose e-mail address is not registered with the Depository Participants ("DP")] at their e-mail address as registered with the DP and made available to the Company and the physical copies of the Postal Ballot Notice and Form along with a self-addressed postage pre-paid Business Reply Envelope have been sent to all other Members at their registered address through the permitted mode. A person who was not a Member as on the cut-off date i.e. Friday, December 7, 2018 should treat this Notice for information purpose only.

In compliance with the provisions of Section 108 of the Act, read with the Companies (Management and Administration) Rules, 2014 and Regulation 44 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, the Company is providing e-voting facility to the Members to cast their vote by electronic means on the resolution set forth in the Postal Ballot Notice, through e-voting services provided by CDSL. The procedure for e-voting is given in the Notice. Mr. Sunil M. Dedhia, Practicing Company Secretary (FCS 3483 CP2031) Proprietor of M/s Sunil M. Dedhia and Co. Company Secretaries Mumbai, has been appointed as the Scrutinizer for conducting the postal

ballot including evoting in a fair and transparent manner. Members can opt for only one mode of voting i.e. E-voting or physical ballot, in case members cast their votes through both the modes, voting done by e-voting shall prevail and votes cast through physical ballot shall be treated as invalid.

All members are informed that:

• The Company has completed the dispatch of physical copies and email of Postal Ballot Notice along with the Form on December 14, 2018.
• 1. The Special Business as stated in the Postal Ballot Notice dated December 11, 2018 may be transacted through voting by electronic means or by Postal Ballot Form.
• The e-voting shall commence on Sunday, December 16, 2018 3. at 9:00 am and ends on Monday, January 14, 2019 at 5:00 pm; The e-voting module shall be disabled by CDSL for voting thereafter.
• 1. A person whose name is recorded in the register of members of the Company or in the register of beneficial owners maintained by the depositories as on cut-off date of December 7, 2018 will be entitled to cast their votes by postal ballot or e-voting and to receive the Postal Ballot Notice and Form.
• 1. Once the vote on resolution is cast by the members, they shall not be allowed to change it subsequently.
• 1. Any Ballot received from the Members after the closing of working hours i.e. 5:00 p.m. on Monday, January 14, 2019, will not be validand voting whether by post or by electronic means shall not be allowed beyond the said date and time.
• 1. The result of the Postal Ballot would be announced by the Chairman or any other person duly authorised, on or before 5:00 pm on Wednesday, January 16, 2019 and will be displayed on the Company's website i.e. www.aarti-industries.com.

કંપનીજ (મેનેજમેન્ટ એન્ડ એડમિનિસ્ટ્રીશન) રૂલ્સ, 2014 ની સાથે વંચાતી કંપનીઝ એક્ટ, 2013ની કલમ 110 અને લાગુ થતી અન્ય જોગવાઈ, જો કોઈ હોય તો, કોઈપણ સુધારા(ઓ), વૈધાનિક ફેરફાર(ઓ) અને/અથવા આ સમયે અમલમાં મૂકવા માટેના પુનરાધિનિયમ સહિત તથા અન્ય લાગ્ કાયદાઓ અને કલમોને આધિન અહીં આરતી ઈન્ડસ્ટ્રીઝ લિમિટેડ ('કંપની')ના સભ્યોને 11 ડિસેમ્બર, 2018ના રોજ પોસ્ટલ બેલેટ નોટીસમાં ઉલ્લેખિત ઠરાવ સંબંધે મંજૂરી મેળવવા માટેના પ્રસ્તાવને ઈલેક્ટોનિક વોટિંગના સહિત પોસ્ટલ બેલેટના માધ્યમથી એક વિશેષ ઠરાવ ૩પે રજૂ કરવામાં આવે છે.

તમામ સભ્યોને (જેમણે ફીઝિકલ કોપીને માંગણી કરી હતી અને જેમના ઈ-મેઈલ એડ્રેસ ડીપોઝિટરી પાર્ટિસિપેન્ટ્સ ('ડીપી') સાથે નોંધાયેલ નથી તેમના સિવાય) ડીપી સાથે નોંધાયેલા તેમના ઈ-મેઈલ એડ્રેસ પર પોસ્ટલ બેલેટ નોટીસ અને ફોર્મને સ્વ-સંબોધિત પોસ્ટેજ પ્રી-પેઈડ બિઝનેસ જવાબ લિફલા સાથે ઈલેક્ટ્રોનિક માધ્યમથી મોકલી આપવામાં આવ્યાં છે તથા કંપની ખાતે તેને ઉપલબ્ધ કરાવવામાં આવેલ છે અને પોસ્ટલ બેલેટ નોટીસ તથા ફોર્મની ફીઝિકલ કોપીઓ અન્ય તમામ સભ્યોને તેમના કાયમી સરનામે મોકલી આપવામાં આવ્યાં છે. અંતિમ તારીખ એટલે કે, શુક્રવાર, 7 ડિસેમ્બર, 2018 સુધી જે વ્યક્તિ સભ્યો નહોતા તેમણે આ નોટીસને ફક્ત માહિતીના હેતુ તરીકે જ લેવી.

કંપનીઝ (મેનેજમેન્ટ એન્ડ એડમિનિસ્ટ્રેશન) રૂલ્સ, 2014 સાથે વંચાતી કાયદાની કલમ 108ની જોગવાઈઓ અને સેબીના વિનિયમ 44 (લિસ્ટિંગ ઓબ્લિગેશન્સ એન્ડ ડિસ્કલોઝર રીકવાયરમેન્ટસ) વિનિયમ, 2015નું પાલન કરીને કંપની પોસ્ટલ બેલેટ નોટીસમાં રજૂ કરવામાં આવેલ ઠરાવ મુજબ. સીડીએસએલ દ્વારા પૂરી પાડવામાં આવતી ઈ-વોટિંગ સેવાઓ મારફતે તેના સભ્યોને ઈલેક્ટ્રોનિક માધ્યમ દ્વારા મતદાન કરવા માટે ઈ-વોટિંગની સુવિધા પૂરી પાડી રહી છે.

ઈ-વોટિંગ સહિત પોસ્ટલ બેલેટ મતદાનને નિષ્પક્ષ અને પારદર્શક રીતે હાથ ધરવા માટે હાલમાં કંપની સેક્રેટરી (એકસીએસ 3483 સીપી 2031) તરીકે કાર્યરત અને મેસર્સ સનિલ એમ. દહીયા એન્ડ કંપની સેક્રેટરીઝ મુંબઈના પ્રોપરાઈટર શ્રી સુનિલ એમ. દહીયાને કંપનીએ સ્ક્રુટિનાઈઝર તરીકે નિમ્યાં છે. સભ્યો કાં તો ઈ-વોટિંગ અથવા તો ફીઝીકલ બેલેટ એમ બેમાંથી કોઈ એક જ માધ્યમ મારકતે મતદાન કરી શકશે, જો કોઈ સભ્યે આ બંને માધ્યમ મારફતે મતદાર કર્યું હશે તો તેમના દ્વારા થયેલું ઈ-વોટિંગ જ ટકશે અને ફીઝીકલ બેલેટ દ્વારા થયેલું મતદાન અમાન્ય ગણવામાં આવશે.

તમામ સભ્યોને જણાવવામાં આવે છે કે:

• ૧. કંપનીએ 14 ડિસેમ્બર, 2018ના રોજ ફીઝીકલ કોપીઓને રવાના કરવાની કામગીરી પૂર્ણ કરી લીધી છે અને ફોર્મ સહિત પોસ્ટલ બેલેટને ઈ-મેઈલ મારફતે મોકલી આપ્યાં છે.
• ર. તારીખ 11 ડિસેમ્બર, 2018ના રોજની પોસ્ટલ બેલેટ નોટીસમાં ઉલ્લેખિત વિશેષ કામગીરીને ઈલેક્ટ્રોનિક માધ્યમ અથવા પોસ્ટલ બેલેટ ફોર્મ દ્વારા હાથ ધરવામાં આવી શકે છે.
• 1. ઈ-વોટિંગનો પ્રારંભ રવિવાર, 16 ડિસેમ્બર, 2018ના રોજ સવારે 9.00 વાગ્યે થશે અને સોમવાર, 14 જાન્યુઆરી, 2019ના રોજ સાંજે 5.00 વાગ્યે પૂર્ણ થશે. ત્યારબાદ સીડીએસએલ દ્વારા મતદાન માટે ઈ-વોટિંગના મોડ્યૂલને બંધ કરી દેવામાં આવશે.
• ૪. જે વ્યક્તિનું નામ 7 ડિસેમ્બર, 2018 સુધી એટલે કે, છેલ્લી તારીખ સુધીમાં કંપનીના સભ્યોના રજિસ્ટરમાં અથવા તો, ડિપોઝીટરીઓ દ્વારા જાળવવામાં આવતા લાભાર્થી માલિકોના રજિસ્ટરમાં નોંધાયેલું હશે, તેઓ જ પોસ્ટલ બેલેટ અથવા તો, ઈ-વોટિંગ દ્વારા મતદાન કરવાને અને પોસ્ટલ બેલેટ નોટીસ અને ફોર્મ મેળવવાને હકદાર છે.
• ૫. સભ્યો દ્વારા એકવાર ઠરાવ પર મતદાન થઈ ગયા બાદ તેઓ ત્યાર પછી તેને બદલી શકશે નહીં.
• ૬. કામગીરીના કલાકો પૂર્ણ થઈ પછી એટલે કે, સોમવાર, 14 જાન્યુઅરી, 2019ના રોજ સાંજે 5.00 વાગ્યા બાદ સભ્યો પાસેથી પ્રાપ્ત થયેલ કોઈપણ બેલેટ માન્ય ગણાશે નહીં અને આ નિયત તારીખ અને સમય પછીથી પોસ્ટ અથવા ઈલેક્ટ્રોનિક માધ્યમથી મતદાન કરવાને મંજૂરી આપવામાં आवशे नहीं
• ૭. પોસ્ટલ બેલેટના પરિણામો બુધવાર, 16 જાન્યુઆરી, 2019ના રોજ સાંજે 5.00 વાગ્યે ચેરમેન દ્વારા અથવા અધિકૃત કરવામાં આવેલી અન્ય કોઈ વ્યક્તિ દ્વારા જાહેર કરવામાં આવશે. કંપનીની વેબસાઈટ www.aarti-industries.com પર દર્શાવવામાં આવશે.
