Sub.: Intimation of Grant of Options under Aarti Industries Limited Performance Stock Option Plan 2022 Ref.: Regulation 30 of the SEBI (LODR) Regulations, 2015

This to inform that, the Nomination and Remuneration Committee of the Board of Directors of the Company, has approved grant of 2,21,475 (Two Lakh Twenty One Thousand Four Hundred Seventy Five) Stock Options to certain eligible Employees of the Company today, under the Aarti Industries Limited Performance Stock Option Plan 2022 (PSOP 2022), subject to the provisions of the Securities and Exchange Board of India (Share Based Employee Benefits and Sweat Equity) Regulations, 2021, at an exercise price of ` 5/- (Rupees Five Only) per option.

Each stock option entitles the holder to apply for 1 (one) equity share of the Company of Face Value of ` 5/- (Rupees Five Only) each and one-third of the total options granted shall become eligible to vest on each anniversary of grant date for 3 (Three) years, subject to continued employment and achievement of performance conditions of Vesting.
