Sub: Outcome of the Board Meeting dated 20th January, 2020
With reference to captioned subject and as per the provisions of Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, outcome of Board Meeting is as under: '
- Based on the recommendation of nomination and remuneration committee Board has considered and approved the Appointment of Mrs. Nisha Agrawal as the Company Secretary and Compliance Officer, being Key Managerial Personnel of 20th the Company w.e .f. January, 2020.
Disclosure as required under SEBI circular no.CIRjCFDjCMDj4j2015 dated 9th September, 2015 are as under;
- A. Reason for Change: Ms. Nikita Mahnot had tendered resignation from the Company w.e.f. August 31, 2019, causing a vacancy or' Company Secretary and Compliance Officer in the Company. In terms of the provisions of Section 203 of the Companies Act, 2013 read with Regulation 6 the SEBI (Listing Obligation & Disclosure Requirements) Regulations, 2015, Company needs to appoint Company Secretary and Compliance Office. Hence, Mrs. Nisha Agarwal is appointed as Company Secretary and Compliance officer of the Company w.e.f. 20th January, 2020
- B. Date of Appointment: 20th January, 2020
- C. Brief Profile: Mrs. Nisha Agarwal is a Company Secretary having the experience of more than 5 years in Secretarial and legal field.
- D. Disclosure of relationship between directors (in case of appointment of Directors): Not Applicable
- Board has considered and approved the Appointment of, Mjs Suthar & Surti, Company Secretaries, Ahmedabad as the Secretarial Auditors of the Company for F.Y. 2019-2020.
