Comunicazioni in merito alla Corporate Governance
Milano, 13 maggio 2021 – Il Consiglio di Amministrazione di A2A S.p.A., riunitosi oggi sotto la presidenza di Marco Patuano, ha proseguito il proprio programma di aggiornamento delle regole di governance aziendali per adeguarle ai Principi e alle Raccomandazioni del nuovo Codice di Corporate Governance adottato dalla Società con decorrenza dal 1° gennaio 2021.
Gli interventi si sono concentrati sulle seguenti aree:
- aggiornamento dei regolamenti del Consiglio di Amministrazione e dei comitati interni;
- estensione delle competenze del Comitato per la Sostenibilità e il Territorio anche ai temi di Corporate Governance, strettamente connessi a quelli della Sostenibilità, intesa non solo in senso ambientale, ma anche sociale ed economica modificando la sua denominazione in "Comitato ESG e Rapporti con i Territori";
- separazione delle funzioni precedentemente assegnate al Comitato Controllo e Rischi con costituzione di un Comitato Parti Correlate al quale vengono attribuiti i compiti previsti dalla normativa Consob di riferimento e dall'apposita procedura per la disciplina delle operazioni con parti correlate, attualmente in corso di modifica con decorrenza 1° luglio 2021. Il Comitato Parti Correlate – che avvia immediatamente le proprie attività, anche ai fini del
- rilascio del parere preventivo sul testo aggiornato della procedura per le operazioni con parti correlate che sarà sottoposto ad una prossima riunione del Consiglio di Amministrazione – è composto dai consiglieri indipendenti: Stefania Bariatti – Presidente, Vincenzo Cariello e Christine Perrotti – Membri ai quali saranno corrisposti, pro rata temporis, i seguenti compensi in coerenza con la Politica di Remunerazione:
- . Euro 20.000,00 per il Presidente;
- . Euro 19.000,00 per ciascun componente.

Communications on Corporate Governance
Milan, May 13, 2021 - The Board of Directors of A2A S.p.A., which met today under the chairmanship of Marco Patuano, continued its program to update the Company's corporate governance rules to bring them into line with the Principles and Recommendations of the new Corporate Governance Code adopted by the Company with effect from January 1, 2021.
Interventions focused on the following areas:
- updating of the regulations of the Board of Directors and internal committees;
- extension of the responsibilities of the Sustainability and Territory Committee to include Corporate Governance issues, closely linked to those of Sustainability, not only in the environmental sense, but also in the social and economic sense, changing its name to "ESG and Territory Relations Committee";
- separation of the functions previously assigned to the Control and Risk Committee with establishment of a Related Party Committee that is assigned the tasks provided for by the relevant Consob regulations and by the specific procedure for regulating related-party transactions, currently being amended with effect from July 1, 2021.
The Related Party Committee - which immediately commences its activities, also with a view to issuing a prior opinion on the updated text of the procedure for transactions with related parties, which will be submitted to a future meeting of the Board of Directors - is made up of independent directors: Stefania Bariatti – Chair, Vincenzo Cariello and Christine Perrotti – Members who will be paid, pro rata temporis, the following remuneration in accordance with the Remuneration Policy:
- . 20,000.00 euro for the Chair;
- . 19,000.00 euro for each member.
