ISSUE AND ALLOTMENT OF SHARES PURSUANT TO EXERCISE OF WARRANTS

The Board of Directors (the “ Board ”) of 9R Limited (the " Company ", and together with its subsidiaries, the " Group ") wishes to announce that on 11 August 2025, the Company has allotted and issued 113,000 new ordinary shares pursuant to the exercise of warrants at the exercise price of S$0.04 per warrant share, following which the number of issued shares of the Company has increased from 1,111,647,152 shares to 1,111,760,152 shares (excluding 159,230 treasury shares).

The new ordinary shares rank pari passu in all respects with the existing shares of the Company and are expected to be listed and quoted on the Singapore Exchange Securities Trading Limited on or around 13 August 2025. Pursuant to the aforesaid exercise of warrants, there are 236,321,671 outstanding warrants with an exercise price of S$0.04 for each warrant share expiring on 28 June 2027.
