ADLPartner: General Meeting

  • Dividend of €1 per share, to be paid out on 23 June
  • Appointment of two new Supervisory Board members and renewal of terms of office

ADLPartner's Ordinary General Meeting, chaired by Philippe Vigneron, Supervisory Board Chairman, was held today. With a quorum of 81,1%, the shareholders approved all the resolutions, including those concerning the consolidated and corporate financial statements for 2016. This General Meeting also enabled ADLPartner to further strengthen its governance with a view to supporting its long-term development.

Dividend

The General Meeting approved the payment of a dividend of €1 per share, released for payment on 23 June, with an ex-dividend date of 21 June 2017.

Compensation policy

The General Meeting approved the principles and criteria for determining, distributing and awarding the fixed, variable and exceptional elements from the overall pay package and the benefits of any kind awarded to the Management Board members and the Chairman of the Supervisory Board, as well as the other Board members.

Governance

The General Meeting approved the renewal of the terms of office of Mrs Robin Smith, Mrs Claire Brunel, Mr Philippe Vigneron, Mr Bertrand Laurioz, Mr Xavier Bouton, Mr Roland Massenet and Mr Dinesh Katiyar as Supervisory Board members for a six-year period.

The General Meeting also approved the appointment of Mrs Caroline Desaegher and Mrs Isabelle Spitzbarth as independent Supervisory Board members for a six-year term of office. These appointments will further strengthen the Supervisory Board's expertise in the insurance sector.

Following these renewals and appointments, ADLPartner's Supervisory Board now has nine members, six of whom are independent. It includes four women, representing 44% of its members.

Other resolutions

In addition, the following key resolutions were approved at the General Meeting:

  • Approval of regulated agreements;
  • Authorization for the Management Board to implement a share buyback program.

Biographies of the new Supervisory Board members

Mrs Isabelle Spitzbarth is Chief Executive Officer of Mutuelle des Sportifs, and Chairwoman of its brokerage subsidiary MDS CONSEIL.

An Institut d'études politiques de Paris graduate, Mrs Isabelle Spitzbarth has devoted her entire career to the insurance industry. After starting out with the French Vice-Ministry of Culture in 1973, she held various responsibilities from 1975 to 1988 within the Caisse des Dépôts group and its subsidiary, Caisse Nationale de Prévoyance. Between 1988 and 1995, Mrs Isabelle Spitzbarth worked for the insurance company Eagle Star Vie (technical director), then Mutex (research director) and Euromut (CEO). In 1995, she created a strategy consultancy focused on personal insurance. In 1999, she became Chief Executive Officer of Mutuelle des Sportifs, an industry leader for sports, culture and leisure insurance.

Mrs Caroline Desaegher is Executive Vice President Communications and Brand at Ramsay Générale de Santé, as well as the CEO of this company's foundation.

Mrs Caroline Desaegher, who graduated from the University of Oxford in strategic management and leadership and has a postgraduate DEA in contemporary economic and social history, has spent her entire career in the insurance industry. From 2012 to 2016, Mrs Caroline Desaegher was Head of Communications and Sustainable Development for Aviva France, after 19 years with the AXA Group, notably as Head of External Communications for AXA France, then Head of Sustainable Development for the Group.
