Todi, 12 dicembre 2025 – ELES Semiconductor Equipment S.p.A. ("ELES" o la "Società"), società le cui azioni sono ammesse alle negoziazioni su Euronext Growth Milan e fornitore mondiale di soluzioni per il test dei dispositivi a semiconduttore (IC Integrated Circuits) con applicazioni Safety e Mission Critical, rende noto di aver ricevuto in data 12 ottobre 2025 la comunicazione, ai sensi dell'art. 15 dello statuto sociale della Società e dell'art. 17 del Regolamento Emittenti Euronext Growth Milan, con la quale Mare Engineering Group S.p.A. ha comunicato di aver superato la soglia del 30% del capitale sociale di Eles a seguito di acquisti di azioni di Eles sul mercato avvenuti in data 8 dicembre 2025.
A seguito di tali operazioni e di ulteriori acquisti successivi all' 8 dicembre 2025, la Società comunica che, dalle ultime risultanze in suo possesso, il proprio azionariato risulta composto come segue:

Eles annovera tra i propri clienti aziende multinazionali produttrici di semiconduttori e produttori di moduli elettronici per il settore automotive ed il Settore I&D. La strategia di Eles prevede, oltre ad una crescita per linee interne tramite la penetrazione in nuovi mercati, l'ulteriore diversificazione della clientela e il miglioramento delle soluzioni già offerte ai clienti, una crescita per linee esterne mediante acquisizioni funzionali ad un più veloce sviluppo commerciale nei Paesi esteri.

NOTICE OF SUBSTANTIAL CHANGE OF SIGNIFICANT SHAREHOLDER PUR-SUANT TO ART. 15 OF THE ARTICLES OF ASSOCIATION AND ART. 17 OF THE EURONEXT GROWTH MILAN ISSUERS' REGULATION
Todi, December 12, 2025 – ELES Semiconductor Equipment S.p.A. ("ELES" or the "Company"), a company listed on Euronext Growth Milan and a provider of testing solutions for semiconductor devices (IC Integrated Circuits) with safety and mission-critical applications, announces that on October 12, 2025, it received a notification from Mare Engineering Group S.p.A., pursuant to art. 15 of the Company's Articles of Association and art. 17 of the Euronext Growth Milan Issuers' Regulation, it stating that it has exceeded the materiality threshold of 30% of the Company's share capital as the result of purchases involving ordinary shares on the market.
Following these transactions and further purchases after December 8, 2025, the Company announces that, based on the information available to the Company, its shareholding structure is composed as follows:
