"TRADE ESTATES REAL ESTATE INVESTMENT COMPANY" with General Commercial Registry number (hereinafter "GEMI") 160110060000 and tax identification number (VAT) 996805731, (the "Absorbing Company") announces to the investing public, following its announcement on July 21, 2025, regarding the decisions of the Boards of Directors of the companies named "TRADE ESTATES REAL ESTATE INVESTMENT COMPANY" and its 100% subsidiaries, non-listed companies named "KTIMATODOMI TECHNIKI TOURISTIKI NAVTILIAKI GEORGIKI KAI EMPORIKI MONOPROSONI ANONYMI ETAIRIA" with GEMI number 121812401000, "POLIKENCO ANAPTYXI KAI EKMETALEFSI AKINITO MONOPROSONI ANONYMI ETAIRIA" with GEMI number 154765901000, and "GYALOU MONOPROSONI ANONYMI ETAIRIA EMPORIKON, TOURISTIKON DRASITIRIOTITON KAI EKMETALEFSI AKINITON" with GEMI number 004370701000 (collectively hereinafter the "Absorbed Companies") regarding the commencement of preparatory actions for the merger through absorption of the Absorbed Companies by the Absorbing Company, in accordance with articles 35, 7-21 of Law 4601/2019 and articles 47-59 of Law 5162/2024 as well as the relevant provisions of Laws 4548/2018 and 5193/2025, as applicable, that on December 11, 2025, it was registered in the General Commercial Registry, with Registration Code 5723534, the decision number 3900037ΑP/11-12-2025 of the Ministry of Development, which approved the merger by absorption of the Absorbed Companies by the Absorbing Company, based on the above laws, the Merger Agreement Draft dated 30.06.2025 of the merging companies, the decisions of the Boards of Directors of the merging companies dated 30.06.2025, and the act number 23646/01.12.2025 of the Notary Public of Athens, Mrs. Maria Panagioti Tsagari.

Upon the completion of the Merger, the following results occur:

a) The Absorbed Companies are automatically dissolved without being placed into liquidation and cease to exist.

b) The Absorbing Company named "TRADE ESTATES REAL ESTATE INVESTMENT COMPANY" enters as the universal successor into all the assets (active and passive) of the Absorbed Companies, based on their financial status as reflected in their Transformation Balance Sheet dated December 31, 2024, and as it was modified up to December 11, 2025, the date of completion of the Merger.
