4.25% Guaranteed Convertible Bonds 2019 ("Convertible Bonds")

In its announcement of results for the year ended 31 December 2018 Primary Health Properties PLC ("PHP" or the "Company") noted a contingent liability in respect of the result of an independent adviser's opinion on whether an adjustment to the exchange price of the Convertible Bonds arose as a result of the open offer element of both the firm placing, placing, open offer and offer for subscription announced on 23 March 2018 and the firm placing, placing, open offer and offer for subscription announced on 22 March 2016 ("Equity Issues") in accordance with condition 6(b) of the terms and conditions of the Convertible Bonds. 

The independent adviser has determined that no adjustment is required in respect of the open offer element of the Equity Issues and his determination is conclusive and binding on the parties.  Accordingly there is no longer any contingent liability.
