PLANETEL SPA: SIGNING OF DEED OF MERGER BY INCORPORATION OF CONNETICAL S.R.L. IN TRIVENET S.R.L. PLANETEL NORDEST S.R.L. IS ESTABLISHED.

Treviolo (Bergamo), 10 December 2025 – Further to the press release issued on 5 November 2025, Planetel S.p.A., (the "Company" or "Planetel"), the parent company of a group operating nationwide in the telecommunications sector, listed on Euronext Growth Milan, the multilateral trading system organised and run by Borsa Italiana S.p.A., announces that the deed of merger (the "Merger") by incorporation of Connetical S.r.l. (or "Connetical") in Trivenet S.r.l. (or "Trivenet"), both 100%-owned by Planetel, was signed today.

The Merger, approved by the Shareholders' Meetings of Trivenet and Connetical on 5 November 2025, forms part of the broader process of the corporate reorganisation and redefinition of the group headed by Planetel S.p.A., intended to simplify its operations.

Since the share capital of both companies concerned is wholly owned by Planetel, the operation was carried out in simplified form in accordance with article 2505 of the Italian Civil Code.

As envisaged by article 2504-bis of the Italian Civil Code and article 172, para. 9) of Presidential Decree no. 917 of 22 December 1986, the accounting and fiscal effects of the merger will apply from 1 January 2026.

The merger will take effect for civil law purposes from the date when the deed of merger comes into force, which will be the last date of registration with the Register of Companies (expected before 31 December 2025), in accordance with art. 2504, second para. of the Italian Civil Code.

The Incorporating company will take over all creditor and debtor legal relationships of the Merged Company from the date when the merger actually comes into force.

It is also announced that with effect from 1 January 2026, Trivenet S.r.l. will change its name to Planetel Nordest S.r.l., as part of the process of the Group's reorganisation and the reinforcement of its identity in the areas concerned.
