Completion of acquisition and Total Voting Rights

AO World plc ("Company") announces that the acquisition of Mobile Phones Direct Limited ("MPD") has completed.  In connection with the acquisition, 13,095,104 ordinary shares in the Company were issued to the sellers of MPD, and such ordinary shares were admitted to listing on the Official List of the Financial Conduct Authority ("FCA") and to trading on the London Stock Exchange earlier today.

Pursuant to rule 5.6 of the FCA's Disclosure Guidance and Transparency Rules, the Company announces that as at 8.00 a.m. today (following the issue of ordinary shares referred to above):

‒       the share capital of the Company consisted of 471,883,584 ordinary shares of £0.0025 each;

‒       each ordinary share entitles the holder to one vote on a poll at a general meeting of the Company;

‒       the Company did not hold any ordinary shares in treasury; and

‒       accordingly, the total number of voting rights in the Company is 471,883,584.

The total voting rights figure (471,883,584) may be used by shareholders, and others with notification obligations, as the denominator for the calculations by which they determine whether they are required to notify their interest in, or a change to their interest in, the Company's ordinary shares under the FCA's Disclosure Guidance and Transparency Rules.
