Report Content 28/2025 Adjustment to the purchase price for theshares in Synergic sp. z o.o. with its registered office in WarsawRegulatoryfiling

The Management Board of Agora S.A., with itsregistered office in Warsaw ("Agora"), in reference to the regulatoryfiling no. 18/2025 dated September 8, 2025, no. 19/2025 dated September8, 2025 and no. 20/2025 dated October 1, 2025 hereby informs that onDecember 9, 2025 it received information, that its subsidiary - AMSS.A., with its registered office in Warsaw ("Company", "Buyer"), dueto fulfilment of the preliminary share purchase agreement regardingshares in Synergic sp. z o.o. with its registered office in Warsaw("Synergic"), made Synergic's share purchase price adjustment by makingan additional payment of PLN 876,106.12 to LARQ GROWTH FUND I FIZ.

The Buyer will be obliged to pay further additionalpayments upon fulfillment of the conditions specified in the PreliminaryAgreement as previously disclosed by Agora in regulatory filing No.19/2025 dated 8 September 2025.
