("Eurocash", "Company"),acting pursuant to Article 17(1) of Regulation (EU) No 596/2014 of theEuropean Parliament and of the Council on market abuse and repealingDirective 2003/6/EC of the European Parliament and of the Council andCommission Directives 2003/124/EC, 2003/125/EC and 2004/72/EC ("MAR"),hereby announces that on 9 December 2025 it approved the implementationof the Eurocash Group Strategy for 2026-2027 under the heading "SiećLudzi Stąd - Building Poland's Number 1 Integrated Franchise Retailer"("Strategy"). A summary of the key elements of the Strategyis included in the presentation available at the Eurocash Group'swebsite in the tab "Dla inwestora - Prezentacje i dane".

TheStrategy envisages:a. Transformingthe Eurocash S.A. Capital Group ("Eurocash Group" or "Group")into an integrated, modern franchises system, with the aim of furtherstrengthening the position of local stores in Poland;b.Optimizingcosts across the value chain by simplifying and focusing on franchises;c.Ensuringrevenue growth through the dynamic expansion of franchise networks,improving sales in comparable stores (LfL), transforming the Duży Bennetwork and scaling Frisco's online reach;d.Focusingon proximity, close relationships with customers and consumers and highquality products - especially by offering fresh products and developingprivate labels;e.Buildinga data-driven retail platform with the goal of improving storeprofitability, automating operations, increasing franchisee loyalty anddriving in-store consumer traffic through data-driven decisions;f.maintainingand strengthening the position of the Eurocash Group as the thirdlargest player on the domestic FMCG market.

Sustainabledevelopment activities will be also an important element of theStrategy.

Asa result of the implementation of the Strategy, the Management Boardwill strive to ensure that in 2027 the Eurocash Group achieves thetarget set out in Resolution no. 27 of the Ordinary Shareholders'Meeting of the Company of 15 May 2025 in the form of EBIT (normalizedfor the impact of one-off events) of PLN 600 million. The ManagementBoard estimates that in the years 2026-2027, the cumulative increase incost efficiency will amount to PLN 400 million at the EBIT level andwill result from the optimization of the Eurocash Group's processes andstructure, supply chain (logistics) and the restructuring of its ownstores. The Management Board anticipates that in connection with theaforementioned savings initiatives, the Eurocash Group will reduce itsemployment by approximately 3,000 employees, including nearly 1,000administrative and office employees (white-collar positions).

Giventhe decision of the Management Board of the Company to focus onfranchise activities, non-strategic activities (which include the"Delikatesy Centrum" own stores segment) will be significantly reduced,resulting in the cessation of operations of about 150 stores operated byDelikatesy Centrum sp. z o.o.

Inconnection with the implementation of the Strategy, the Management Boardof the Company estimates making one-off write-offs and creating arestructuring provision in the range of PLN 200-300 million, consistingprimarily of write-offs related to: (i) the cessation of operations ofabout 150 "Delikatesy Centrum" own stores operated by Delikatesy Centrumsp. z o.o., (ii) supply chain optimization (including the reduction oflogistics centers and cash _ carry warehouses) and (iii) the reductionof employment in the Eurocash Group.

Inconnection with the abovementioned intention to create the one-offrestructuring provision, EBITDA (after IFRS16) for 2025 will be reducedby the amount in the range of PLN 200-300 million in the financialstatements for financial year 2025.

Theinformation on the adoption of the Strategy and the need to recognizeone-off writs-offs and create a restructuring provision, was qualifiedas inside information due to its potential impact on the operations ofthe Company.
