Our Letter of Guarantee No.LGU/082332/018 Expiring on 06 November 2026

With reference to the Report of the majority Shareholder on the exclusion of minority shareholders and on the transfer of shares of minority Shareholders to the majority Shareholder in the Company KS NALOZBE financne nalozbe d.d. dated 04/11/2025 concerning acquisition of 9.80% of the shares in KS Nalozbe, Ljubljana (registration number: 2225727000) i.e. the Payment of Appropriate Monetary Compensation to Minority Shareholders (the "Agreement"), with Messrs Kalantia Ltd (the "Applicant") and at the Applicant's request, we hereby undertake to hold at your disposal the amount of EUR32.218,00 [Say: EURO Thirty Two Thousand Two Hundred Eighteen only] plus 5% interest per annum, as a guarantee, which amount we shall pay to you without any reference to and in spite of any contestation by the said Messrs Kalantia Ltd, immediately on your demand being made to us in writing, within the validity of this guarantee, at our offices at 173 Athalassas Avenue, 2025 Strovolos, Nicosia, Cyprus, stating that Messrs Kalantia Ltd has refused or failed to pay any amount up to the sum of EUR32.218,00 plus 5% interest per annum in accordance with the terms of the above Agreement and that you claim payment under this Letter of Guarantee stating also the amount demanded and the reference of this Letter of Guarantee.

Your signatures on demand must be authenticated by your Bankers, by an authenticated Swift message to us, confirming also that the signatures are legally binding upon your company.

It is clarified that any demand for payment will be settled into the below account:

s sklicevanjem na poročilo večinskega delničarja o izključitvi manjšinskih delničarjev in o prenosu delnic manjšinskih delničarjev na večinskega delničarja v družbi KS NALOŽBE finančne naložbe d.d. z dne 4. 11. 2025 v zvezi s pridobitvijo 9,80 % delnic v družbi KS Naložbe, Ljubljana (matična številka: 2225727000), tj. plačilo ustreznega denarnega nadomestila manjšinskim delničarjem (v nadaljnjem besedilu: »sporazum«), z družbo Kalantia Ltd (v nadaljnjem besedilu: »vlagatelj«) in na zahtevo vlagatelja se zavezujemo, da vam dajemo na razpolago znesek v višini 32.218,00 EUR [z besedo: dvaintrideset tisoč dvesto osemnajst evrov] plus 5 % letnih obresti, kot garancijo, ki vam jo bomo izplačali brez sklicevanja na in kljub morebitnemu ugovoru omenjene družbe Kalantia Ltd, takoj ko nam boste poslali pisno zahtevo znotraj veljavnosti te garancije na naš naslov 173 Athalassas Avenue, 2025 Strovolos, Nicosia, Ciper, v kateri navedete, da je družba Kalantia Ltd zavrnila ali ni plačala zneska do višine 32.218,00 EUR plus 5 % letnih obresti v skladu s pogoji zgoraj navedenega sporazuma in da zahtevate plačilo na podlagi te bančne garancije, v kateri navedete tudi zahtevani znesek in sklic na to bančno garancijo.

Vaši podpisi na zahtevi morajo biti overjeni s strani vaših bankirjev, in sicer z overjenim SWIFT sporočilom, ki nam potrjuje, da so podpisi pravno zavezujoči za vaše podjetje.

Pojasnjujemo, da bo vsak zahtevek za plačilo nakazan na spodnji račun:

V skladu s to bančno garancijo je mogoče vložiti le en zahtevek.

Bančna garancije je neprenosljiva in nedodeljiva.

Za to bančno garancijo veljajo in jo urejajo Enotna pravila za garancije na zahtevo iz leta 2010, revizija ICC publikacija št. 758, (URDG).

Za bančno garancijo velja ciprska zakonodaja, pristojno sodišče je v Nikoziji na Cipru.
