Appendices 3Y: Change of Director’s Interest Notice

2 February 2016 Singapore

8I Holdings Limited (ASX: 8IH) (“the Company”) refers to the Appendices 3Y lodged earlier today in respect to:

1. Mr Ken Chee's interest in the securities of the Company; and

2. Mr Clive Tan's interest in the securities of the Company.

By way of background:

1. 8 Capital Equities Group Ltd (“8CEG”) a substantial shareholder of the Company of which Messrs Chee and Tan (both of whom are founders, executive directors and substantial shareholders of the Company) are the sole shareholders, has:

   • (a) capitalised its debt to equity through the issue of new shares in 8CEG to various creditors; ("Share Issue"); and

   • (b) undertaken an in specie distribution of all of its 74,150,000 8IH CHESS Depository Interests ("CDIs") to the shareholders of 8CEG ("In-Specie Distribution");

2. pursuant to the Share Issue and the In-Specie Distribution, Cheshire United Ltd, a company in which Messrs Chee and Tan are directors and major shareholders, has received 20,755,741 8IH CDIs; and

3. both Messrs Chee and Tan, being major shareholders of 8CEG, were previously deemed to have an indirect interest in the 74,150,000 8IH CDIs held by 8CEG. Accordingly, as a result of the Share Issue, Mr Tan and Mr Chee's shareholdings in 8CEG have been diluted and they will no longer have an indirect interest in the 71,500,000 8IH shares held by 8CEG. Instead, following the

In-Specie Distribution, Mr Tan and Mr Chee will now have an indirect interest in the 20,755,741 8IH CDIs held by Cheshire United Ltd.
