Pursuant to the resolution of the Board of Directors dated 27.11.2025, the General Management of our Bank is authorized to carry out all necessary applications to all relevant institutions including Capital Markets Board, to prepare, arrange, execute and amend all agreements, documents, where applicable, with an arbitration clause, and any other information and documents, to fulfill other procedures in Türkiye and abroad, including but not limited with the MTN program update, if deemed necessary, related to the issuance, to carry out and complete all transactions with regards to the issuance of notes and/or bonds outside of Türkiye with the maturity and interest to be determined according to the market conditions at the date of issuance, by one or more tranches, with a total maximum amount of USD 750 million or equivalent in TL or in any other foreign currency, including the debt instruments that can be taken into account in the additional tier 1 or tier 2 equity calculation pursuant to the Regulation the Equity of the Banks. In contradiction between the Turkish and English versions of this public disclosure, the Turkish version shall prevail.
