Assemblea Ordinaria degli Azionisti di Indel B S.p.A.

Conferito incarico di revisione contabile per gli esercizi 2026-2034

Sant'Agata Feltria (Rimini), 01 Dicembre 2025 – Indel B S.p.A. – società quotata all' EXM di Borsa Italiana, a capo di un gruppo attivo nella produzione di sistemi di refrigerazione e condizionamento per il mobile e mobile living per i mercati Automotive, Hospitality e Leisure Time (nautica da diporto e recreational vehicles), comunica che l'Assemblea Ordinaria degli Azionisti, riunitasi in data odierna in via telematica, ha deliberato in merito al conferimento dell'incarico per la revisione legale dei conti con riferimento agli esercizi 2026-2034, unico punto all'ordine del giorno.

L'Assemblea degli Azionisti, esaminata la proposta motivata predisposta dal Collegio Sindacale ai sensi dell'art. 13 del D.Lgs. n. 39/2010, ha nominato Deloitte & Touche S.p.A. quale società incaricata di svolgere la revisione dei bilanci individuali della Società e dei bilanci consolidati del gruppo Indel B per gli esercizi dal 2026 al 2034, nonché l'incarico di revisione contabile limitata del bilancio semestrale consolidato abbreviato del gruppo Indel B al 30 giugno per gli esercizi dal 2026 al 2034.

La società di revisione nominata resterà quindi in carica fino all'Assemblea convocata per l'approvazione del bilancio di esercizio al 31 dicembre 2034.

Ordinary Shareholders' Meeting of Indel B S.p.A.

Appointed to perform the Statutory Audit for the Financial Years 2026-2034

Sant'Agata Feltria (Rimini), 01 December 2025 – Indel B S.p.A. – company listed on the Borsa Italiana EXM, heading a group that operates in the production of cooling and conditioning systems for mobile and mobile living for the Automotive, Hospitality and Leisure Time markets (pleasure boating and recreational vehicles) announces that the Ordinary Shareholders' Meeting, held today by telematic means, resolved on the appointment of the statutory auditor for the financial years 2026-2034, the only item on the agenda.

The Shareholders' Meeting, based on the reasoned proposal of the Board of Statutory Auditors pursuant to Article 13 of Legislative Decree No. 39/2010, approved the appointment of Deloitte & Touche S.p.A. as the company responsible for auditing the Company's individual financial statements and the consolidated financial statements of the Indel B group for the financial years from 2026 to 2034, as well as for the limited audit of the Indel B group's condensed consolidated half-yearly financial statements as at June 30 for the financial years from 2026 to 2034.

The appointed auditing firm will therefore remain in office until the Shareholders' Meeting called to approve the financial statements for the year ending December 31, 2034.
