In accordance with DTR 3.1.4(R)(1)(a), 888 Holdings plc wishes to notify the following changes in the interests of persons discharging managerial responsibility (PDMRs) in ordinary shares of 888 Holdings plc (Shares) arising out of the operation of its 888 All-Employee Share Plan.

On 28 August 2015 (the Grant Date), the awards set out below (the Awards) were granted under the 888 All-Employee Share Plan to the following PDMRs.  The numbers of Shares stated are the maximum available to each PDMR. The number of Shares was based on the closing price of the Shares on the Grant Date.

The Awards will vest in their entirety on 28 August 2018, subject to fulfilment of the applicable performance conditions as determined by the Remuneration Committee and notified to the PDMRs at the Grant Date.  Accordingly, the earliest date on which the PDMRs will normally become entitled to acquire any of the shares subject to the Awards is 28 August 2018.
