Issue of Equity

88 Energy Limited ("88 Energy" or the "Company", ASX:88E, AIM:88E, OTC:EEENF) issued 407,650,000 fully paid shares ("Consideration Shares") on 6 December 2021 as part of a pre-payment for services associated with the Merlin-2 well at a deemed issue price of A$0.026 per share.

Application will be made for admission of the Consideration Shares to trading on AIM ("Admission"), with Admission expected to occur on 10 December 2021. Following the issue of the Consideration Shares, which rank pari passu to the existing ordinary shares in the Company, the Company has a total of 14,811,076,196 ordinary shares in issue, all of which have voting rights.
