Review of suitability requirements for Board of Directors

At a Board meeting held today, subject to prior review by the Appointments Committee, the Directors of Mediobanca ascertained, based on the declarations made and the documentation furnished, as well as the other available information, that the suitability and professional requirements, as well as the criteria in terms of proper conduct, competence and independence of judgement pursuant to Article 15 of Italian Ministerial Decree no. 169/2020, were all met by the Board members.

The requirements for time commitments, number of directorships, and absence of any situations that fall within the scope of application of Article 36 of Italian Decree Law no. 201/2011 (ban on interlocking directorships) were also found to be met.

The members of the Board of Directors (with the exceptions of Chief Executive Officer Alessandro Melzi d'Eril and Directors Silvia Fissi and Donatella Vernisi) were found to qualify as independent based on the definitions provided in Article 148 of the Italian Finance Act, Article 13 of Italian Ministerial Decree no. 169/2020, and Article 19 of the Articles of Association.
