CDP RETI: il Consiglio di Amministrazione delibera un acconto sul dividendo 2025 di circa 394 milioni di euro

Roma, 25 novembre 2025 – Il Consiglio di Amministrazione di CDP RETI S.p.A. ("CDP RETI") ha deliberato oggi la distribuzione agli azionisti di un acconto sul dividendo 2025 pari a circa 394 milioni di euro (59,32 euro per azione), al lordo di eventuali ritenute di legge. La decisione è in linea con le delibere adottate dal 2016.

L'acconto sul dividendo, che sarà posto in pagamento entro il 5 dicembre 2025, è stato approvato sulla base della situazione contabile della Società al 30 giugno 2025, redatta secondo i principi contabili internazionali IFRS (International Financial Reporting Standards). Tale situazione evidenzia un utile netto di circa 394 milioni di euro e riserve disponibili pari a circa 2,054 miliardi di euro.

Il prospetto contabile di CDP RETI al 30 giugno 2025, la relazione degli Amministratori e il parere della società di revisione – ai sensi dell'art. 2433-bis del Codice civile – sono depositati presso la sede della Società.

CDP RETI: Board of Directors resolves a 2025 interim dividend of approximately

394 million euro

Rome, 25 November 2025 – The Board of Directors of CDP RETI S.p.A. ("CDP RETI") resolved today to

distribute to Shareholders an interim dividend of approximately 394 million euro (59.32 euro per share) for

the fiscal year 2025, gross of any applicable withholding taxes. This decision is consistent with the

resolutions adopted since 2016.

The interim dividend, payable no later than 5th December 2025, has been approved based on CDP RETI's

financial statements as of 30 June 2025, prepared in accordance with International Financial Reporting

Standards (IFRS). As of that date, CDP RETI reported a net profit of approximately 394 million euro and

available reserves of approximately 2.054 billion euro.

CDP RETI's financial statements as of 30 June 2025, along with the Board of Directors' report and the

independent auditors' opinion – issued pursuant to Article 2433-bis of the Italian Civil Code – are available

at the company's registered office.
