SUBJECT: Simplified Procedure Without Liquidation of the Company INGOMONT d.o.o.

ING-GRAD Jsc., with its registered office in Zagreb, Kalinovica 3, 10000 Zagreb, OIB: 93245284305, hereby informs the investment public that the Commercial Court in Zagreb, on 11 November 2025, issued decision Tt-25/59018, which was published on 18 November 2025, whereby, through a simplified procedure without liquidation, the termination of the company INGOMONT Ltd., Kalinovica 3, Zagreb, OIB: 00896978812, MBS: 081456515, 50% owned by ING-GRAD Jsc. is registered in the court register of the Commercial Court in Zagreb.

The aforementioned decision stipulates that the decision shall be revoked if a well-founded objection is lodged within 30 days from the date of its publication, and that, upon the decision becoming final, the registry court will issue a decision on the deletion of INGOMONT Ltd. from the court register.

ING-GRAD Jsc., as the issuer, informs the investment public that INGOMONT Ltd. is currently a nonoperational company, which has not carried out any business activities, and that its termination has no impact on the business operations or the financial position of ING-GRAD Jsc. as the issuer.

ING-GRAD Jsc. further informs the investment public that the current assets of INGOMONT Ltd. consist of a cash amount of EUR 902.03 (in words: nine hundred and two euros and three cents), which, after covering all costs of the respective procedure, will be distributed to the members of INGOMONT Ltd, i.e., 50% of this amount to ING-GRAD Jsc.
