O3 Partners N.V. (registered office: 3013 AK Rotterdam, Stationsplein 45, company registration number: 96066717, hereinafter referred to as the "Company") hereby informs its esteemed investors and the public that, as part of a recent portfolio restructuring, the Company has transferred several of its directly held investments to its wholly owned Hungarian subsidiary, OXO Labs Zrt.
The transaction is fully aligned with the strategy outlined in the Company's Information Document published on 6 November 2025, which sets forth the development of the GP stake investor model and the corresponding organisational structure. The purpose of the restructuring is to consolidate the management of early-stage investments within the dedicated subsidiary, thereby streamlining operations and enhancing transparency.
During the portfolio reorganisation, the Company implemented a capital increase in OXO Labs Zrt., whereby the relevant equity interests were contributed as non-cash contributions (in-kind contributions). In accordance with Hungarian regulations, the value of the contributed equity interests was determined by an independent expert, BDO Hungary Financial Advisory Ltd.
The restructuring involved the transfer of the Company's shareholdings in the following entities:
The Company believes that reorganising the portfolio in this manner enhances operational efficiency, aligns the corporate structure with the strategic objectives, and supports the gradual development of the GP stake investor model.
In addition to the above-mentioned restructuring, the Company further informs its investors that OXO Labs Zrt. has also expanded its investment portfolio in 2025 under the Startup Factory II. programme. As part of this activity, OXO Labs Zrt. completed two new early-stage investments:

• Medalyst – equity stake: 5.24%. Medalyst is a mobile application developed for sports clubs, designed to streamline daily sports-related administrative tasks for clubs, coaches, athletes and parents.
• Terrasky – equity stake: 10.00%. TerraSky develops solar panel fault-detection analytics software and related machine-learning algorithms that enable more efficient and accurate identification of malfunctioning solar panels through drone-based diagnostics.
