Sub: Outcome of Board meeting of Tata Steel Limited

The Board at its meeting held today, i.e., Wednesday, November 12, 2025, inter alia, transacted the following business:

1.    Financial Results

Considered and approved the Audited Standalone and Unaudited Consolidated Financial Results of Tata Steel Limited ('Company') for the quarter and half year ended

September 30, 2025.

The financial information as required to be provided in terms of Regulation 52 of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ('SEBI Listing Regulations') forms part of the said Financial Results.

A copy of the said Financial Results together with the Auditors' Report thereon for the quarter and half year ended September 30, 2025, is enclosed herewith as Annexure-1.

2.    Acquisition of 50% equity stake in Tata BlueScope Steel Private Limited

Considered and approved the acquisition of 50% equity stake in Tata BlueScope Steel Private Limited ('TBSPL') (a 50:50 joint venture between Tata Steel Limited through its wholly owned subsidiary - Tata Steel Downstream Products Limited and BlueScope Steel Limited through its wholly owned subsidiary - BlueScope Steel Asia Holdings Pty Ltd), from BlueScope Steel Asia Holdings Pty Ltd ('BSAH'), for a consideration of up to ₹1,100 crore.

Pursuant to the approval of the Board, the Company has today executed the share purchase agreement with TBSPL, BSAH and BlueScope Steel Limited. The transaction is subject to customary conditions precedent, approvals from regulatory authorities including the Competition Commission of India and other stakeholders as applicable.

On consummation of the above transaction, TBSPL will become an indirect wholly owned subsidiary of Tata Steel.

In terms of the Regulation 30, 51 and other applicable provisions of the SEBI Listing Regulations read with SEBI Master Circular No. SEBI/HO/CFD/PoD2/CIR/P/0155 dated November 11, 2024, further details of the said acquisition are enclosed herewith as

Annexure-2.

Further, please find enclosed herewith the press release titled 'Tata Steel reports Consolidated EBITDA of Rs 9,106 crores for the quarter and Rs 16,585 crores for the half year ended

September 30, 2025' and presentation to be made to Analysts/Investors on the Financial Results of Tata Steel Limited for the quarter and half-year ended September 30, 2025 as Annexure-3.

The Board meeting commenced at 2:00 p.m. (IST) and concluded at 5:00 p.m. (IST).
