FACTS ABOUT SYSTEMAIR

Systemair is a leading manufacturer of ventilation products and has since its foundation increased sales every year and been profitable. The average sales growth has for the last 15 years been around 20 percent per annum with an average operating profit margin of around 8 percent. Systemair's sales for the financial year 2006/07 amounted to SEK 2,664 million, with an operating profit for the same period of SEK 329 million, corresponding to an operating profit

margin of 12.4 percent. For the first quarter, May – July 2007, Systemair reported sales of SEK 694 million, representing a growth of 16 percent compared to the same period last year, and an operating profit of SEK 89 million, representing a growth of 26 percent compared to the same period last year, with an operating profit margin of 12.8 percent.

Systemair was founded in 1974 by Gerald Engström who early on grew the operations internationally through establishing presence in Europe and in North America, but also in emerging markets such as Russia, which today is Systemair's single largest market. This year Systemair was awarded the Major Export Award by the Swedish Trade Council. Today, Systemair's principal markets are the Nordic countries, Western Europe, Eastern Europe and CIS, as well as North America. Systemair has production at ten facilities in nine countries and has sales to approximately 65 countries. The group's products are marketed under the brand names Systemair, Frico, VEAB and Fantech. Sales are predominantly made outside Sweden, during the latest quarter (May – July 2007) Sweden represented only around 10 percent of the group's total sales. The main facilitiy is located in Skinnskatteberg and the group has over 1,700 employees.

"Following many years of profitable growth with presence in an increasing number of markets, we have now reached the size where a public listing feels like a natural step in our future development. A public listing increases the awareness of Systemair which is something we can benefit from in our continued expansion, which also facilitates acquisitions of companies.", says Gerald Engström, President and Chief Executive Officer.

The principal owners of Systemair are Gerald Engström (63 percent of the shares) and the German fan motor producer ebm-papst (33 percent). The remaining 4 percent of the shares are held by members of the Board, senior executives and other key employees within Systemair. Members of the Board of Directors are: Lars Hansson (Chairman), Gerald Engström, Jan Philippiak (ebm-papst), Göran Robertsson, Elisabeth Westberg, Kevin Rowland (employee representative) and Knut Stålenhag (employee representative).

Handelsbanken Capital Markets and Nordea are Joint Global Co-Ordinators and Joint Bookrunners for the initial public offering. Complete and detailed information about the offering can be found in the prospectus that has been published in connection to the offering.
