NCC to acquire Finnish asphalt company

NCC Roads Oy is to acquire the operations of Valtatie Oy, its 50-percent owned asphalt company in Finland, from the Colas Group of France. The operations will be integrated with NCC's road operations in Finland, which will consequently become one of the larger players in the Finnish asphalt and paving market.

The geographic spread and focus of the two companies complement each other well and NCC expects the merger to provide benefits of scale and synergies. NCC Roads Oy is involved in the entire value chain of road construction, while Valtatie Oy primarily manufactures asphalt and implements paving projects.

"It is a structural transaction that will create a more profitable operation in Finland. NCC will strengthen its market position and become one of the larger players in asphalt and paving in Finland. This transaction also enables us to meet the demands on the Finnish market and develop new business concepts", says Göran Landgren, President of NCC Roads Holding AB.

The merged operation will have annual sales of approximately SEK 950 million, employ nearly 400 people and have a market share of slightly more than 20 percent within asphalt and paving.

In 2006, Valtatie Oy had sales of approximately EUR 48 million and about 230 employees. The company is active within asphalt production and paving in south and central Finland. Since 2000, 50 percent of the company has been owned by NCC Roads Holding AB and 50 percent by Colas Danmark A/S, a subsidiary of the French Colas Group.

The purchase consideration is not being disclosed and the transaction is subject to investigation by the Finnish Competition Authority (FCA). This process may take up to six months.
