Pursuant to the Communiqué on Principles Regarding Financial Reporting in Capital Markets (II-14.1) ("Financial Reporting Communiqué") of the Capital Markets Board of Turkey  and the resolution dated 28.12.2023 regarding the implementation of inflation accounting, and in compliance with Turkish Accounting Standards/Turkish Financial Reporting Standards and the formats determined by the CMB, the standalone and consolidated financial statements of our Company, Kuzugrup Gayrimenkul Yatırım Ortaklığı A.Ş. ("Company"), for the period 01.01.2025–30.09.2025 (including the standalone and consolidated statement of financial position, statement of comprehensive income, cash flow statement, statement of changes in equity, together with the accompanying notes) and the activity report. We hereby declare that:

To the extent of our duties and responsibilities within the Company and to the best of our knowledge, they do not contain any untrue statement on material matters or any omission that may cause such statements to be misleading as of the date of disclosure,

To the extent of our duties and responsibilities within the Company and to the best of our knowledge, the financial statements prepared in accordance with the Financial Reporting Communiqué, together with the entities within the scope of consolidation, fairly present the assets, liabilities, financial position, and profit or loss of the Company; and the activity report, together with the entities within the scope of consolidation, fairly presents the development and performance of the business and the financial position of the Company, along with the principal risks and uncertainties faced.

Sermaye Piyasası Kurulu'nun (SPK) II-14.1. Sayılı Sermaye Piyasasında Finansal Raporlamaya İlişkin Esaslar Tebliği (‘Finansal Raporlama Tebliği') ve 28.12.2023 tarihli enflasyon muhasebesi uygulamasına ilişkin ilke kararı uyarınca, Türkiye Muhasebe Standartları/Türkiye Finansal Raporlama Standartları ve SPK tarafından belirlenen formatlar ile uyumlu olarak hazırlanan şirketimiz Kuzugrup Gayrimenkul Yatırım Ortaklığı A.Ş. ("Şirket")'nin 01.01.2025-30.09.2025 dönemine ait solo ve konsolide finansal tablolarının (dipnotları ile birlikte solo ve konsolide finansal durum tablosu, kapsamlı gelir tablosu, nakit akış tablosu ve özkaynak değişim tablosu) ve faaliyet raporunun SPK düzenlemeleri doğrultusunda;

·        Tarafımızca incelendiğini,

·        Şirketimizdeki görev ve sorumluluk alanımızda sahip olduğumuz bilgiler çerçevesinde, önemli konularda gerçeğe aykırı bir açıklama ve açıklamanın yapıldığı tarih itibariyle yanıltıcı olması sonucunu doğurabilecek herhangi bir eksiklik içermediğini,

·        Şirketimizdeki görev ve sorumluluk alanımızda sahip olduğumuz bilgiler çerçevesinde, Finansal Raporlama Tebliği uyarınca hazırlanmış finansal tabloların konsolidasyon kapsamındakilerle birlikte, işletmenin aktifleri, pasifleri, finansal durumu ve kar zararı ile ilgili gerçeği dürüst bir biçimde yansıttığını ve faaliyet raporunun işin gelişimi ve performansını ve konsolidasyon kapsamındakilerle birlikte işletmenin finansal durumunu, karşı karşıya olunan önemli risk ve belirsizliklerle birlikte dürüstçe yansıttığını,
