Nature of the event:

Sale of shares of Gav-Yam Land Corporation Ltd.

1. PROPERTY AND BUILDING CORP. LTD. (the "Company") is pleased to update that on November 6, 2025, it sold its ordinary shares of Gav-Yam Land Corporation Ltd. ("Gav-Yam") comprising about 7.64% of Gav-Yam's issued and paid-up share capital, to third parties in several off-exchange transactions at a price of NIS 38.6 per share, for an aggregate consideration totaling approximately NIS 650 million.

As a result of the transaction, the company is expected to record a non-material increase in the shareholders' equity attributable to the company's owners during Q4 2025. Following the transaction, the company holds about 64.04% of the issued and paid-up share capital of Gav-Yam.
