Declaration of Candidate for Service as Director in a Public Company

I, the undersigned, Noa Naftali, holder of ID number 336458062, candidate for service as director in BIG SHOPPING CENTERS LTD (the company), hereby declare as follows:

• 1. I possess the necessary skills and the ability to dedicate the appropriate time for the performance of the duties of a director in the company, taking into account, among other things, the company's specic needs and its size.
• 1. Please note the statement in Section 1 above; here is a detailed list of my aforementioned qualications:

Education (please specify degree type and name of academic institution): M.A. in Government, Conict Resolution and Diplomacy, Interdisciplinary Center Herzliya; B.A. in International Relations, Tufts University, Boston, USA. Certicate studies in elds of Finance, Negotiation, International Business, and Business Strategy.

Professional experience: Fundraising and external relations in organizations and non-prots; until 2022 member of the board of directors at 'Ken' non-prot; real estate investor; director in the company since 2019 until August 2025.

1. I have not been convicted by a nal court decision in any of the offenses according to Sections 290 to 297, 392, 415, 418 to 420, and 422 to 428 of the Penal Law, 1977, and according to Sections 52g, 52d, 53(a) and 54 of the Securities Law, 1968 (Securities Law). I have not been convicted by a court outside Israel of offenses of bribery, fraud, manager offenses in a corporation, or offenses related to misuse of inside information. I have not been convicted in any other offense for which a court has ruled, due to its nature, severity or circumstances, that I am unt to serve as a director in a public company or in a private company that is a bond company (as dened below). Also, I am not a minor, not declared incompetent, nor declared bankrupt.

Bond Company – a company whose bonds are listed for trading on the stock exchange or were offered to the public according to a prospectus as dened in the Securities Law, or were offered to the public outside Israel according to a public offering document required by law outside Israel and held by the public.

1. The Administrative Enforcement Committee, appointed under Section 52lamedbet(a) of the Securities Law, has not imposed on me an enforcement measure (as dened below) prohibiting me from serving as a director in a public company or in a private company that is a bond company.

Enforcement measure – as specied in Section 52nov of the Securities Law, imposed as per Chapter 8-4 of the Securities Law, Chapter 7-2 of the Regulation of the Occupation of Investment Counseling and Portfolio Management Law, 1995, or Chapter 10-1 of the Joint Investments in Trust Law, 1994, as applicable.

1. I undertake to notify the company if any of the aforementioned conditions in this declaration ceases to exist, immediately after I become aware of it, and I am aware that my service as director in the company terminates upon giving such notice. I understand that the company has relied on my declaration at the time of approving my appointment in the company.
