Following the announcements published on September 27 and 28, 2025, Impresa confirms that negotiations with the MFE group are still ongoing, although there is no binding agreement between the parties at this date.

Although the final terms of the agreement are still under discussion, it is clarified that the subject of the negotiations is currently limited to the subscription of a minority stake, not exceeding 33% of the share capital, by an entity of the MFE group, through a capital increase in Impresa.

The potential completion of the transaction will be subject, among other conditions, to the analysis by the Portuguese Securities Market Commission (CMVM) of the contractual instruments formalizing the transaction, and confirmation by the CMVM that it does not trigger an obligation to launch a public takeover bid.

Should any inside information arise, it will be disclosed to the market in accordance with Article 29- Q of the Securities Code and Regulation (EU) No. 596/2014, of the European Parliament and of the Council, of 16 April 2014, as amended.
