Con riguardo alla notizia recentemente ripresa dalla stampa relativa a sequestro preventivo disposto contro Lagfin e avente a oggetto azioni Campari, a integrazione di quanto già reso noto con comunicato stampa di venerdì 31 ottobre u.s., si precisa quanto segue.

La misura cautelare - connessa a un contenzioso fiscale cui è estranea Campari, il Gruppo Campari e qualsivoglia manager Campari - è stata regolarmente eseguita in data odierna e ha avuto oggetto 214.079.997 azioni Campari (che corrispondono a circa il 34% della partecipazione complessiva in Campari detenuta da Lagfin (pari a 637.860.699 azioni al 31 ottobre 2025).

Trattandosi di misura meramente conservativa, il diritto di voto relativo alle azioni sequestrate continua a restare in capo a Lagfin, la quale, pertanto, continua a essere titolare di 3.039.224.699 diritti di voto di Campari pari a circa l'84% dei voti. Peraltro, quand'anche il diritto di voto delle azioni sequestrate fosse stato momentaneamente perso, Lagfin avrebbe comunque mantenuto circa il 72% dei voti, ovvero il controllo di diritto su Campari.

Lagfin ritiene che la pretesa fiscale e le connesse indagini penali siano infondate sotto ogni profilo, avendo Lagfin sempre agito nel pieno rispetto formale e sostanziale delle norme, nonché con la massima trasparenza. Lagfin si riserva, quindi, di agire per la tutela delle proprie ragioni (ivi incluso contro il provvedimento di sequestro).

With regards to the news recently reported by the media, and in addition to what was already disclosed in the press release of Friday, 31 October, concerning the preventive seizure of Campari shares ordered against Lagfin, please note the following.

The precautionary measure - connected to a tax dispute in which Campari, the Campari Group, and any Campari manager have no role whatsoever - was duly executed today on 214,079,997 Campari shares, corresponding to approximately 34% of the total shares in Campari held by Lagfin, which amount to 637,860,699 shares in total as of 31 October 2025. As this is a purely conservative measure, the voting rights attached to the seized shares remain with Lagfin, who continues to hold 3,039,224,699 voting rights in Campari, equal to about 84% of the votes. Moreover, even if the voting rights attached to the seized shares had been temporarily lost, Lagfin would have still retained around 72% of the votes, thus maintaining control over Campari.

Lagfin believes that the tax claim and the related criminal investigations are unfounded in every respect and that it has always acted in full compliance with the law and with utmost transparency. It therefore reserves its right to take action (including against the preventive seizure) to protect its interests.
