INTESA SANPAOLO: FILING NOTICE

Turin - Milan, 3 November 2025 – Intesa Sanpaolo communicates that, in accordance with the regulations in force, the amended Articles of Association were made available today at the Company's Registered Office, as well as on the authorised storage system eMarket STORAGE and at group.intesasanpaolo.com. The amended Articles of Association were registered in the Turin Company Register on 29 October 2025 following the new composition of the Bank's share capital as a result of the annulment, on 22 October 2025, of own shares with no reduction in the Bank's share capital, which involved all the own shares purchased in execution of the buyback programme disclosed to the market on 26 May 2025, launched on 2 June 2025 and concluded on 17 October 2025 (*) .

^(*) Purchases were suspended from 8 to 16 September 2025 in relation to the execution of the share buyback programme serving plans of assignment, free of charge, of Intesa Sanpaolo ordinary shares to employees.
