Şirketimizin Alarko Carrier Sanayi ve Ticaret A.Ş.'nin sermayesinde sahip olduğu, sermayenin %10'unu temsil eden toplam 1.080.000 TL nominal değerli payının borsada satışı kapsamında borsada işlem gören niteliğe dönüştürülmesi amacıyla hazırlanan pay satış bilgi formunun onaylanmasına ilişkin 22.05.2025 tarihli talebimizin olumlu karşılandığı, Sermeya Piyasası Kurumu'nun ("SPK") 23.10.2025 tarihli ve 2025/55 sayılı bülteninde duyurulmuştu. Konuya ilişkin açıklama 24.10.2025 tarihinde kamuoyu ile paylaşılmıştı.

SPK'nın 23.10.2025 tarih ve 56/1917 sayılı toplantısında onaylanan pay satış bilgi formu tarafımıza 28.10.2025 tarihinde SPK'nın E-29833736-110.08-80299 sayılı üst yazısıyla bildirilmiştir.

İlgili formun onaylı nüshası ekte yer almaktadır.

Kamuoyuna duyurulur.

İşbu açıklamamızın İngilizce çevirisi ekte yer almakta olup, açıklama metinlerinde herhangi bir farklılık olması durumunda, Türkçe açıklama esas kabul edilecektir.

It has been announced in the Capital Markets Board's ("CMB") bulletin dated 23.10.2025 and numbered 2025/55 that our Company's application dated 22.05.2025, regarding the approval of the share sale information form prepared for the conversion into publicly tradable shares of our Company's shares in Alarko Carrier Sanayi ve Ticaret A.Ş., representing 10% of its share capital with a nominal value of 1,080,000-TL has been approved. The relevant disclosure was shared with the public on 24.10.2025.

The share sale information form approved at the CMB's meeting dated 23.10.2025 and numbered 56/1917 has been notified to our Company by the CMB's official letter dated 28.10.2025 and numbered E-29833736-110.08-80299.

The approved copy of the relevant form is attached hereto.

This is hereby announced to the public.

The English translation of this disclosure is attached hereto. In case of any discrepancy between the Turkish and English versions of this disclosure, the Turkish version shall prevail.
